Agreement to Terms

By accessing and using UVLTech's services and website, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, please do not use our services.

  • Software development and licensing
  • Managed IT services and support

  • Cybersecurity solutions
  • Network infrastructure design and implementation

3. Acceptance of Services

Order Process

  • All orders are subject to acceptance by UVLTech
  • We reserve the right to refuse service to anyone
  • Pricing is subject to change without notice
  • Orders are binding once accepted by both parties

Service Agreements

  • Detailed service agreements will be provided for major projects
  • Scope of work will be clearly defined
  • Timeline and deliverables will be specified
  • Payment terms will be outlined

4. Payment Terms

Payment Methods

  • Bank transfer (NEFT/RTGS)
  • Cheque payments
  • Online payment gateways
  • Credit terms for approved clients

Payment Schedule

  • Hardware: 100% advance or as per credit terms
  • Services: Milestone-based payments
  • AMC: Annual advance payment
  • Late payments: Subject to interest charges

5. Intellectual Property

Our IP Rights

  • All proprietary software and solutions remain our property
  • Trademarks and logos are protected
  • Documentation and methodologies are confidential
  • Client receives usage rights, not ownership

Client IP Rights

  • Client retains ownership of their data
  • Custom developments may be jointly owned
  • Third-party software subject to vendor licenses
  • IP ownership will be clearly defined in agreements

6. Confidentiality

Both parties agree to:

  • Maintain confidentiality of sensitive information
  • Use information only for intended purposes
  • Implement appropriate security measures
  • Return or destroy confidential information upon request

Critical Issues

Response: 2 hours
Resolution: 4 hours

High Priority

Response: 4 hours
Resolution: 8 hours

Medium Priority

Response: 8 hours
Resolution: 24 hours

Low Priority

Response: 24 hours
Resolution: 72 hours

8. Limitations of Liability

Important Limitations
  • Our liability is limited to the value of services provided
  • We are not liable for indirect or consequential damages
  • Force majeure events are excluded from liability
  • Client data backup is client's responsibility
  • Third-party software issues are vendor's responsibility

9. Warranties and Disclaimers

Our Warranties

  • Services will be performed with professional skill
  • Hardware products carry manufacturer warranties
  • Software solutions will meet specified requirements
  • Support services will meet agreed SLAs

Disclaimers

  • No warranty for third-party products beyond manufacturer terms
  • Performance depends on client's infrastructure
  • Internet connectivity issues are excluded
  • Client's misuse voids warranties

10. Termination

Termination by Client

  • 30-day written notice for ongoing services
  • Payment for services rendered up to termination date
  • Return of company property
  • Data migration assistance (if requested)

Termination by UVLTech

  • Non-payment of invoices
  • Breach of agreement terms
  • Illegal or unethical use of services
  • 30-day notice (except for material breach)

11. Data Protection

We are committed to protecting your data:

  • Compliance with applicable data protection laws
  • Secure data handling and storage
  • Regular security audits and updates
  • Data breach notification procedures
  • Client data remains client's property

12. Force Majeure

Neither party shall be liable for delays or failures due to:

  • Natural disasters
  • Government actions or regulations
  • War, terrorism, or civil unrest
  • Internet or telecommunications failures
  • Pandemics or health emergencies

13. Governing Law

These terms are governed by:

  • Laws of India
  • Jurisdiction of Delhi courts
  • Information Technology Act, 2000
  • Indian Contract Act, 1872

14. Dispute Resolution

  1. Direct Negotiation: Attempt to resolve through discussion
  2. Mediation: Use neutral third-party mediator
  3. Arbitration: Binding arbitration in Delhi
  4. Legal Action: Court proceedings as last resort

15. Modifications

We reserve the right to modify these terms:

  • Changes will be posted on our website
  • Email notification for material changes
  • Continued use constitutes acceptance
  • Existing contracts remain under original terms
